The NFL Forward Pass (the "Program") is sponsored by [NFL Properties LLC] ("NFL" or "Sponsor"). This Program is open to Canadian residents only and is governed by Canadian law.
The Program begins on September 23rd, 2024 at 12:00 a.m. Eastern Time ("ET") and ends on January [12], 2025 at 11:59 p.m. ET (the "Nomination Period").
Eligibility to Submit a Nomination as Nominator:
To participate in the Program and submit a nomination (a "Nomination") as a nominator (a "Nominator") during the Nomination Period, you must be a resident of Canada who has reached the legal age of majority in your province or territory of residence at the time of participation.
For the avoidance of any doubt, the Nominator has no right to claim any Grant or a portion thereof.
Eligibility to be Nominated as an Association:
To participate in the Program as an eligible nominee (a "Nominee" or "Association"), you must be a Canadian football organization that: (i) has an established financial process to help families in need; (ii) provides sporting opportunities to at least fifty (50) youth football players in Canada; (ii) has certified coaching staff; (iv) a player safety program and/or policies; and (v) abuse and harassment training and/or policies.
Any and all actions contemplated in these Terms on behalf of an Association must be completed by an authorized representative of the Association (each a "Representative") who: (a) is a resident of Canada; (b) has reached the legal age of majority in their province or territory of residence; (c) resides in Canada during the Nomination Period; (d) at the time of fulfillment has authority and permission from the Association to participate in the Program on behalf of the Association; and (e) has the authority to legally bind the Association – including, without limitation, to these Terms and to any other required documentation as contemplated in these Terms.
FOR GREATER CERTAINTY AND THE AVOIDANCE OF ANY DOUBT, THE REPRESENTATIVE IS NOT THE NOMINEE AND HAS NO RIGHT TO PERSONALLY CLAIM ANY GRANT OR A PORTION THEREOF. THE NOMINEE IN THIS PROGRAM IS THE ASSOCIATION.
NFL reserves the right, in its sole and absolute discretion at any time, to disqualify any Association if NFL determines that allowing the Association to participate in the Program could bring NFL into public disrepute or in any way impact the good standing or reputation of NFL in the eyes of the general public or if it is discovered that the Nominator or Nomination was not compliant with these Terms. NFL's decisions on all matters arising in this regard shall be final and binding without right of appeal.
How to Make a Submission / Nomination:
No purchase necessary. During the Nomination Period, an eligible Nominator can make a Nomination by going to www.nfl.com/forwardpass (the "Website") and following the prompts to access and fully complete an Official Nomination Form (the "Form") with all required information (each a "Nomination"), including but not limited to:
- Nominator's full name and contact details;
- Full name and contact details of the Association; and
- A [video or written submission] that describes how the Association achieves the following concepts:
- Community impact
- Player participation and development
- How the grant would unlock growth in player participation
To be an eligible Nomination, all materials must be submitted and received during the Nomination Period, include all of the requirements noted above and on the Website, and be in accordance with these Terms (including but not limited to the submission requirements described below).
Submission / Nomination Requirements:
The following limits and conditions apply to all Nominations:
- An eligible Nominator cannot submit more than one (1) Nomination in relation to the same Nominee Association;
- The same Nominee Association can be nominated by multiple eligible Nominators in accordance with these Terms and the judges will determine which one (1) Nomination moves the Association forward; and
- An eligible Nominator who is affiliated with an Association can complete a Nomination for that Association.
By participating in the Program and submitting a Nomination, each Nominator hereby warrants and represents that any Nomination and associated materials they submit:
- are original and that the Nominator has obtained all necessary rights in and to the Nomination materials for the purposes of submission in the Program;
- do not violate any law, statute, ordinance or regulation;
- do not contain any reference to or likeness of any identifable third parties, unless consent has been obtained from all such parties;
- will not give rise to any claims whatsoever, including, without limitation, claims of infringement, invasion of privacy or publicity, or infringe on any rights and/or interests of any third party;
- are not defamatory, trade libelous or obscene, and will not contain, depict, include, discuss or involve any materials that are or could be considered inappropriate, unsuitable or offensive, all as determined by the NFL in its sole and absolute discretion; and
- the Nomination and associated materials comply with these Terms.
By participating in the Program and submitting a Nomination, each Nominator: (i) grants to the NFL, in perpetuity, a non-exclusive license to publish, display, reproduce, modify, edit or otherwise use his/her Nomination and associated materials (and any component thereof), in whole or in part, for advertising or promoting the Program or for any reason; (ii) waives all moral rights in and to their Nomination and materials (and each component thereof) in favour of NFL or anyone authorized by NFL to use such materials; and (iii) agrees to release and hold harmless NFL and all other Released Parties from and against any and all claims, damages, liabilities, costs and expenses arising from use of their Nomination and materials (or any component thereof), including, without limitation, any claim based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other intellectual property related or other cause of action whatsoever.
Winning Grants:
There will be a total of three (3) NFL Forward Pass Grants, each consisting of:
- a $25,000 CAD grant given by the NFL to a chosen Association
Three (3) Associations will be chosen to each receive a Grant (each a "Winner"), with one Winner for each of the following three regions (each a "Region"):
- Western Canada (British Columbia, Alberta, Saskatchewan, Manitoba, Yukon, the Northwest Territories, Nunavut)
- Ontario
- Quebec and Atlantic Canada (New Brunswick, Nova Scotia, Prince Edward Island, Newfoundland and Labrador)
[A panel of judges conveyed by the NFL (which may include representatives from Football Canada and/or regional football associations) will select the top three (3) Nominees, one from each Region, on the basis of the following weighted criteria:
- Community impact
- Player participation
The eligible Nominee who receive the top score in their Region (as determined by the Program judges, in their sole and absolute discretion) will be selected as the eligible recipient of a Grant for that Region, subject to compliance with these Terms. Limit one (1) Grant per Association in relation to the Program.
Odds of being selected depend on the number and calibre of eligible Nominations submitted and received in your Region during the Nomination Period in accordance with these Terms.
Judging for the Nomination is scheduled to occur on or about [January 2nd – 10th, with the Winners planned to be announced on or about [January 17th, 2025].
To claim a Grant, each potential Winner must agree to:
- only use the Grant for the purposes of supporting football registration fees and/or to help eligible families within the Association to overcome barriers that prevent Canadians from playing the game; and
- be used in full by December 31, 2025.
Each potential Winner (via a Representative) will be required to enter into an agreement with the NFL whereby it commits to allocating the Grant in the manner specified and required by the NFL under the Program.
Grants must be accepted as awarded and are not transferable or assignable (except as may be specifically permitted by the NFL in its sole and absolute discretion). No substitutions are permitted, except at NFL's option. The NFL reserves the right to at any time (a) place reasonable restritions on the availability or use of the Grant or any component thereof; and (b) substitute a Grant or component thereof for any reason with an item or item(s) of equal or greater value. By accepting a Grant, the Representative (on their own behalf and on behalf of the Association) agrees to waive all recourse against the NFL and all other Released Parties (defined below) if the Grant or a component thereof does not prove satisfactory, in whole or in part. To the fullest extent permitted by applicable law, each Association eligibe to receive a Grant agrees that neither the association nor anyone on behalf of the Association (including the Representative) may seek reimbursement or pursue any legal or equitable remedy from the NFL or any of the Released Parties should the Program or Grant be in any way unsatisfactory.
Each Association that receives a Grant is solely responsible for the reporting and payment of any applicable taxes relating to the Grant.
Verification:
All Nominations, Nomination materials, Associations and participants are subject to verification at any time and for any reason. NFL reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to NFL – including, without limitation, government issued photo identification): (i) for the purposes of verifying an individual's eligibility to participate in this Program; (ii) for the purposes of verifying the eligibility and/or legitimacy of any Nomination, Nomination materials, votes and/or other information entered (or purportedly entered) for the purposes of this Program; and/or (iii) for any other reason NFL deems necessary, in its sole and absolute discretion, for the purposes of administering this Program in accordance with NFL's interpretation of the letter and spirit of these Terms. Failure to provide such proof to the complete satisfaction of the NFL within the timeline specified by NFL may result in disqualification in the sole and absolute discretion of NFL. The sole determinant of the time for the purposes of this Program will be the official time-keeping device(s) of NFL.
The NFL and/or its third party agencies or designated judges or moderators (the "Reviewers") reserve the right to screen all Nominations and associated materials. All Nominations and associated materials that the Reviewers deem, in their sole and absolute discretion, to violate these Terms are subject to disqualification, in which case the NFL reserves the right, in its sole discretion, to take whatever action it deems necessary based on the circumstances, including disqualifying the Nomination.
Notification and Confirmation:
NFL or its designated representative will make a minimum of two (2) attempts to contact the Representative of each Association that is eligible to receive a Grant (using the information provided in the Nomination and/or Form) within five (5) business days of selection of the potential Winners. If the Representative of an Association that is eligible to receive a Grant cannot be contacted as outlined above, or if there is a return of any notification as undeliverable; then the Association may, in the sole and absolute discretion of NFL, be disqualified (and, if disqualified, will forfeit all rights to a Grant) and NFL reserves the right, in its sole and absolute discretion and time permitting, to select an alternate eligible Association from among the remaining eligible Nominations in accordance with these Terms.
NO ASSOCIATION IS A GRANT RECIPIENT UNLESS AND UNTIL NFL OFFICIALLY CONFIRMS THE ASSOCIATION AS A GRANT RECIPIENT IN ACCORDANCE WITH THESE TERMS. Before being declared AS A CONFIRMED GRANT RECIPIENT, the Representative of each Association that is eligible to receive a Grant will be required to sign and return within three (3) business days of notification NFL's declaration, release and grant form, which (among other things): (i) confirms his/her and the Association's compliance with these Terms; (ii) acknowledges the Association's acceptance of the Grant (as awarded) and the conditions attached with its use; (iii) releases NFL and all of the other Released Parties from any and all liability in connection with this Program, his/her and the Association's participation therein and/or the awarding and use/misuse of the Grant or any portion thereof; (iv) agrees to the publication, reproduction and/or other use of the Association's name and logo without further notice or compensation, in any publicity or advertisement carried out by or on behalf of NFL in any manner whatsoever, including print, broadcast or the internet; (v) agrees to provide stories, photos, videos and other content to (a) show the cheque presentation; and (b) showcase how the Grant has had a positive impact on football families in need; and (vi) agrees to distribute the Grant in a manner that has been mutually agreed upon as between the Association and NFL.
If an Association that is eligible to receive a Grant: (a) fails to have its Representative return the properly executed Program documents within the specified time; (b) cannot accept (or is unwilling to accept) the Grant (as awarded) for any reason; and/or (c) is determined to be in violation of these Terms (all as determined by NFL in its sole and absolute discretion); then they will be disqualified (and will forfeit all rights to a Grant) and NFL reserves the right, in its sole and absolute discretion and time permitting, to select an alternate eligible Association from among the remaining eligible Nominations in accordance with these Terms (in which case the foregoing provisions of this section shall apply to such newly selected eligible Association).
General:
If it is discovered by NFL (using any evidence or other information made available to or otherwise discovered by NFL) that any person has attempted to use multiple names, multiple identities, multiple email addresses, any automated, macro, script, robotic or other system(s) or program(s), and/or any other means not in keeping with NFL's interpretation of the letter and/or spirit of these Terms to participate in or to disrupt this Program; then he/she may, in the sole and absolute discretion of NFL, be disqualified from the Program. NFL, its associated and affiliated entities, advertising/promotion agencies and all other individuals and entities involved in the development, production, implementation, administration, judging or fulfillment of the Program (collectively with NFL, the "Program Parties"), and each of their respective agents, employees, directors, successors, and assigns (collectively, the "Released Parties") are not responsible for, and accept no liability whatsoever in relation to lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected or undelivered Forms, Nominations, and/or other materials, or for lost, interrupted or unavailable network, service Internet Service Provider (ISP), Website, or other connections, availaility or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failures or jumbled, scrambled, delayed or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors of any other kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Program, including, without limitation, errors or difficulties which may occur in connection with the administration of the Progrma, the processing or judging of Nominations, the announcement of the grants or in any Program-related materials.
A Nomination may be rejected if, in the sole and absolute discretion of NFL: (i) the Nomination (including, but not limited to, any associated Nomination materials) are not submitted and received in accordance with these Terms during a Nomination Period; and/or (ii) the materials accompanying the Nomination are not in compliance with these Terms (all as determined by NFL in its sole and absolute discretion).
IMPORTANT NOTE: Individuals may encourage others to submit a Nomination; however, no form of incentive, inducement, prize or chance of receiving any incentive, inducement, or prize may be offered as part of such encouragement in furtherance of receiving such individual's Nomination. In addition, proxy nomination schemes (or anything reasonably resembling a proxy nomination scheme, as determined by NFL in its sole and absolute discretion) are hereby expressly prohibited.
This Program is subject to all applicable federal, provincial and municipal laws. The decisions of NFL with respect to all aspects of this Program are final and binding on all participants without right of appeal.
ANY INDIVIDUAL OR ENTITY DEEMED BY NFL TO BE IN VIOLATION OF NFL'S INTERPRETATION OF THE LETTER AND/OR SPIRIT OF THESE TERMS FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF NFL AT ANY TIME.
NFL reserves the right to withdraw, cancel, amend or suspend this Program (or to amend these Terms) in any way without prior notice or obligation, including in the event of any cause beyond the reasonable control of NFL that interferes with the proper conduct of this Program as contemplated by these Terms, including, without limitation, any error, accident, problem, computer virus, bugs, tampering, unauthorized intervention, fraud or failure of any kind whatsoever. Any attempt to undermine the legitimate operation of this Program in any way (as determined by NFL in its sole and absolute discretion) may be a violation of criminal and civil laws and should such an attempt be made, NFL reserves the right to seek remedies and damages to the fullest extent permitted by law.
By entering this Program, each participant expressly consents to NFL, its agents and/or representatives, storing, sharing and using the personal information submitted for the purpose of administering the Program and in accordance with the NFL's privacy policy, available at https://www.nfl.com/legal/privacy/. This section does not limit any other consent(s) that an individual may provide the NFL or others in relation to the collection, use and/or disclosure of their personal information.
In the event of any discrepancy or inconsistency between the terms and conditions of these English Terms and disclosures or other statements contained in any Program-related materials, including, but not limited to, the French version of these Terms, point of sale, television, print or online advertising and/or any instructions or interpretations of these Terms given by any representative of NFL, the terms and conditions of these English Terms shall prevail, govern and control to the fullest extent permitted by law.
